By downloading, installing, or using ApexFrame (the “Application”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree to these Terms, do not install or use the Application.
These Terms form an agreement between you and Apex Technology Group, Inc. (“Apex”, “we”, “us”).
ApexFrame is a media player for televisions. It reads photo, video, and PDF files from storage you connect to your own device and displays them as a slideshow according to settings you choose.
The Application operates entirely on your device. It has no user accounts, no server component, and no ability to access the internet. Apex provides no hosting, no storage, no backup, and no online service of any kind in connection with the Application.
ApexFrame is provided free of charge. There is no purchase price, no subscription, and no in-application purchase. Nothing in these Terms obliges Apex to continue offering the Application, to maintain it, to update it, or to provide support for it.
We may modify, suspend, or discontinue the Application, in whole or in part, at any time and without notice or liability.
You must be of legal age to form a binding contract in your jurisdiction to accept these Terms. If you install the Application on a device used by others, you are responsible for their use of it.
The Application displays files that you supply. You are solely responsible for those files, including:
Apex never receives, stores, reviews, moderates, or has any access to your files. We assume no responsibility for them and no liability arising from their display.
You agree not to:
Televisions, streaming devices, USB drives, file systems, and media formats vary enormously, and support for removable storage differs between manufacturers, models, and operating system versions.
We make no representation or guarantee that the Application will work on any particular television, streaming device, or drive, or with any particular file.
The Application may be unable to detect your drive, may be unable to read certain file systems, and may be unable to decode certain photo, video, or document formats. Any device compatibility list, supported format list, or system requirement we publish is offered for guidance only and is not a warranty.
THE APPLICATION IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
To the fullest extent permitted by law, Apex disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade.
Without limiting the foregoing, we do not warrant that:
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
The decision to install and use the Application is entirely yours, and you make it at your own risk.
You are responsible for deciding whether the Application is appropriate for your circumstances, including where the television is located, who will see what is displayed, and what happens if the display is interrupted or does not appear at all. Apex accepts no responsibility for that decision or for any consequence of it.
TO THE FULLEST EXTENT PERMITTED BY LAW, APEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE APPLICATION.
This includes, without limitation, any claim arising from:
Because the Application is provided free of charge, our total aggregate liability to you for all claims arising out of or relating to the Application shall not exceed one United States dollar (USD $1.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless Apex Technology Group, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your use of the Application or your display of any content through it, including any claim that such content infringes the rights of a third party.
The Application, including its software, design, interface, name, and logo, is owned by Apex Technology Group, Inc. and is protected by copyright, trademark, and other laws. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Application on devices you own or control.
You retain all rights in your own photos, videos, and documents. Because Apex never receives them, no licence of any kind in your content is granted to us.
ApexFrame collects no data. The Application does not declare the internet permission and is therefore unable to transmit information anywhere. See our Privacy Policy for full detail.
The Application is distributed through Google Play and the Amazon Appstore. Your download and installation are also governed by the terms and privacy policies of the store you use, which are outside our control.
Apex is not affiliated with, endorsed by, or sponsored by Google LLC, Amazon.com, Inc., or any television or device manufacturer. Product names and trademarks are the property of their respective owners.
You may stop using the Application at any time by uninstalling it. We may terminate or suspend your licence to use the Application at any time, for any reason, without notice. Sections 5 and 8 through 12 survive termination.
All disputes shall be resolved exclusively by binding arbitration in Louisiana, United States.
Arbitration shall be conducted confidentially and administered by a recognized arbitration body selected by Apex, in accordance with its then-current rules. The arbitrator’s decision shall be final and binding. You and Apex each waive any right to a jury trial and to participate in a class action.
These Terms shall be governed by and construed in accordance with the laws of the Cook Islands, without regard to its conflict-of-law principles. Subject to the arbitration provisions above, any matter not subject to arbitration shall be resolved in a court of competent jurisdiction in the Cook Islands.
Apex shall not be liable for any failure or delay arising from causes beyond its reasonable control, including acts of God, natural disasters, power failures, network failures, changes to third-party operating systems or application stores, or governmental action.
You may not assign or transfer these Terms or any rights under them. Apex may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
We may revise these Terms at any time. Material changes will be reflected by an updated effective date at the top of this page. Continued use of the Application after changes take effect constitutes acceptance of the revised Terms.
If any provision of these Terms is held invalid or unenforceable, that provision shall be limited or removed to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No failure or delay by Apex in exercising any right under these Terms shall operate as a waiver of that right.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Apex regarding the Application and supersede all prior understandings relating to it.
